These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Hownosh Ventures, LLC, a California limited liability company doing business as Three29 (“Company,” “we,” “us,” or “our”), governing your access to and use of the SightAI platform, including all related websites, applications, services, and tools (collectively, the “Service”).
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Account Registration
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately at support@getsightai.com if you become aware of any unauthorized use of your account.
3. Description of Service
SightAI provides artificial intelligence optimization analytics and tools, including:
- Analytics: AI traffic analytics powered by Scrunch, our third-party data provider, which provides insights into how AI systems discover, reference, and interact with your web content.
- Optimize: AI context and framing analysis that evaluates and ranks how well-optimized your web pages are for discovery and representation by AI tools, along with actionable recommendations for improvement.
The Service may integrate with third-party services, including but not limited to Google Analytics, to provide enhanced reporting and analytics capabilities. Your use of such third-party integrations is subject to the respective third-party terms and policies.
4. Subscription and Free Trial
4.1 Free Trial
We may offer a seven (7) day free trial of the Service to users who possess a valid promotional code. During the free trial period, you will have access to the features specified for the applicable subscription tier. Unless you cancel before the end of the free trial period, your subscription will automatically convert to a paid monthly subscription and your designated payment method will be charged.
4.2 Monthly Subscription
Following any applicable free trial period, the Service is offered on a monthly subscription basis. Your subscription will automatically renew each month on the anniversary of your initial subscription date unless cancelled prior to the renewal date. Subscription fees are billed in advance at the beginning of each billing cycle.
4.3 Changes to Pricing
We reserve the right to modify subscription pricing at any time. Any price changes will take effect at the beginning of the next billing cycle following notice to you. Your continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Payment Terms
All payments are processed through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your designated payment method for all fees associated with your subscription. You agree to maintain valid and current payment information on file. Failed payments may result in suspension or termination of your access to the Service.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service.
- Access or attempt to access data or analytics belonging to other users without authorization.
- Use automated systems (bots, scrapers, or similar tools) to access the Service in a manner that exceeds reasonable usage or that could impair the Service's performance.
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
- Resell, sublicense, or redistribute the Service or any data obtained through it without our prior written consent.
- Misrepresent your identity or affiliation with any person or entity.
- Use the Service to generate misleading or deceptive AI optimization outcomes.
7. Intellectual Property
7.1 Our Rights
The Service and all associated content, features, functionality, software, designs, and trademarks are owned by or licensed to the Company and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.
7.2 Your Content
You retain ownership of any data, content, or materials you submit to or through the Service (“User Content”). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely as necessary to provide and improve the Service.
7.3 Feedback
Any suggestions, ideas, or feedback you provide regarding the Service may be used by us without restriction or compensation to you.
8. Data and Third-Party Services
The analytics data displayed within the Service is sourced from Scrunch, our third-party data provider. While we strive to present accurate and current information, we do not guarantee the accuracy, completeness, or timeliness of any third-party data. The Service is provided for informational and optimization purposes, and you acknowledge that analytics results may vary based on data availability, AI model changes, and other factors outside our control.
If you choose to connect third-party services such as Google Analytics, you authorize us to access the data necessary to provide you with integrated analytics within the Service. You are solely responsible for ensuring that your use of these integrations complies with the applicable third-party terms of service.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO REPRESENTATIONS REGARDING THE ACCURACY OR RELIABILITY OF ANY AI OPTIMIZATION RECOMMENDATIONS OR ANALYTICS DATA PROVIDED THROUGH THE SERVICE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your User Content.
12. Termination
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period, and you will retain access to the Service until that date.
We may suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to violations of these Terms, non-payment, fraudulent activity, or conduct that we reasonably believe may harm the Service or other users.
Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 9, 10, 11, 14, and 15.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service or by sending notice to your registered email address. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Service.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction of such courts.
15. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy and Refund and Cancellation Policy, constitute the entire agreement between you and the Company regarding the Service.
- Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
- Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.
- Force Majeure. We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control.
